Court fee payable under the NCLT Rules is separate from professional fee, and publicly available schedules note that many applications fall between Rs.500 and Rs.10,000 while an appeal to NCLAT carries a prescribed filing fee of Rs.5,000/-.

Terms of the Fee Structure
The proposal should clearly define effective hearing and non-effective hearing, because public institutional formats often distinguish between the two and allow reduced billing for adjourned or formal dates . A suitable clause is that a non-effective hearing where the matter is merely passed over, adjourned without substantial submissions, or listed only for directions may be billed at 50% of the regular appearance fee, unless the adjournment is pre-notified .
Connected matters should also be addressed. A commercially balanced clause is full fee in the lead matter and 50% in each connected matter, subject to an aggregate cap of double the lead appearance fee for the same block of connected listings, which mirrors a public-sector litigation billing model .
Separate actuals and exclusions
The proposal should expressly state that the following will be charged separately on actuals: court fee, process fee, e-filing expenses, printing, photocopying, paper books, certified copies, translation, notarization, stamp duty, clerkage, courier, travel, hotel stay, AOR charges, briefing counsel fees, and Senior Advocate fees . This is especially important because the attached proposal already excludes court fees, documentation charges, government charges, travel, and miscellaneous out-of-pocket expenses from the monthly retainer .
Suggested closing commercial terms
- Retainership payable monthly in advance by the 7th day of each month .
- Litigation invoices payable within 15 days of billing.
- Urgent filings within 24 hours, late-night conferences, and holiday work may attract an urgency premium of 25% to 50%.
- Fees quoted are exclusive of taxes.
- In high-stakes commercial, insolvency, constitutional, or precedent-setting matters, fees may be revised by mutual consent depending on claim value, record volume, and hearing intensity .
- For retained clients, a discount of 10% to 15% on standard appearance and drafting rates may be offered, except on third-party counsel and actual expenses .
